Changes that will affect the Articles of Incorporation or Articles of Organization (LLC) must be formally filed at the Secretary of State. The formal filing is called an Amendment.

Making changes to the Articles of Incorporation or Articles of Organization (LLC) must meet the legal requirement as outlined by the state and the company’s Articles.

Some changes that can lead to the need to file an Amendment are:

  • Change of official business address
  • Company name change
  • Change of directors/officers
  • Change of Registered Agent
  • Issuing additional shares
